Terms of Service

Welcome to MvpHub.com (hereinafter referred to as “MvpHub,” “we,” “us,” or “our”). MvpHub is owned and operated by Zealand Design Media based in New Zealand. These Terms and Conditions (“Terms”) govern your access and use of MvpHub, including any related websites, services, or applications that list Minimum Viable Products (“MVPs”), allow developers to showcase their MVPs, and allow buyers to purchase MVPs and/or domains. By accessing or using MvpHub, you agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must not use MvpHub.

We reserve the right to modify, update, or replace any part of these Terms at our sole discretion. It is your responsibility to periodically check these Terms for changes. Your continued use of or access to MvpHub following the posting of any changes constitutes acceptance of those changes.

1. DEFINITIONS

  1. Developer: A user who creates or owns an MVP and lists it on MvpHub.
  2. Buyer: A user who purchases or intends to purchase an MVP and/or domain listed on MvpHub.
  3. Domain Owner: A user who submits a domain for listing on MvpHub.
  4. User or “you”: Any individual or entity accessing or using MvpHub, including Developers, Buyers, and Domain Owners.
  5. MVP (Minimum Viable Product): A prototype or early-stage product developed by a Developer for demonstration, review, or sale on MvpHub.
  6. External Hosting/Link: When a Developer opts to host the MVP’s code outside MvpHub or link to a separate external site to facilitate the transaction.

2. ELIGIBILITY

  1. You must be at least the age of majority in your jurisdiction or otherwise able to form a legally binding contract to use MvpHub.
  2. By using MvpHub, you represent and warrant that:
    • All information you submit to us is truthful and accurate;
    • You will maintain the accuracy of such information; and
    • Your use of MvpHub does not violate any applicable law or regulation.

3. USER ACCOUNTS

  1. Account Creation: In order to list, purchase, or access certain features of MvpHub, you may be required to create an account. You agree to provide true, accurate, current, and complete information.
  2. Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
  3. Multiple or Fake Accounts: You may not create multiple accounts or create an account using a false identity or information, or on behalf of someone other than yourself without proper authorization.

4. LISTING OF MVPS

  1. Submission by Developers

    • Developers may list their MVPs on MvpHub by providing accurate and complete information about the MVP, including relevant technical details, pricing, and licensing terms.
    • By listing an MVP, you represent and warrant that you have the full right, power, and authority to list such MVP, and that the MVP and its content do not infringe or violate any third-party rights.

  2. Hosting Options

    • MvpHub-Hosted: Developers can choose to host their MVP’s code and/or facilitate payments directly on MvpHub.
    • External Hosting/Link: Developers can provide links to external sites for code hosting or purchase. In such cases, the actual transaction, including payment and code transfer, takes place outside MvpHub. We do not assume any liability for external transactions, and you (Developer and Buyer) assume all risks associated with such external transactions.

  3. Accuracy of Listings

    • Developers are solely responsible for the accuracy and completeness of their MVP listings.
    • MvpHub does not guarantee or endorse the accuracy of the MVP’s information. Buyers should exercise due diligence before making any purchase decision.

  4. Resale Prohibited

    • Buyers purchasing an MVP on MvpHub may not resell or redistribute the MVP as a standalone product. This policy preserves the integrity and original purpose of each MVP listed here.

5. DOMAIN LISTINGS AND TRANSACTIONS

  1. Submission by Domain Owners

    • Domain Owners may submit their domains to MvpHub, providing all necessary details, including domain name, registration status, and asking price.
    • By listing a domain, you represent and warrant that you have full ownership rights or authority to sell the domain, and that the domain does not infringe or violate any third-party rights or trademarks.

  2. Linking Domains to MVPs

    • MvpHub may match domains to relevant MVP listings for possible bundled transactions.
    • Any combined purchase (domain + MVP) is subject to these Terms as well as the specific terms for each listing.

  3. Escrow Service for Domains

    • When a Buyer purchases a domain through MvpHub, we act as an escrow agent. This means we collect payment from the Buyer and hold it until the domain is successfully transferred to the Buyer.
    • The Domain Owner agrees to initiate the transfer of the domain promptly after receiving notice of the Buyer’s payment.
    • Once the Buyer confirms receipt of the domain and we verify the transfer, we will release the payment to the Domain Owner, less any applicable fees or commissions.

6. TRANSACTIONS AND PAYMENT

  1. MvpHub-Facilitated Transactions

    • If a Developer opts to use MvpHub’s payment system to sell an MVP, all payments will be processed through our payment processor. The Developer authorizes MvpHub to collect the payment, deduct any fees or commissions, and remit the remaining amount to the Developer in accordance with our payment schedule.
    • Buyers purchasing through MvpHub will pay the listed price plus any applicable taxes or fees.

  2. External Transactions

    • If a Developer chooses to link to an external site for hosting or purchase, the transaction is completed off MvpHub. MvpHub has no responsibility or liability for such transactions, including but not limited to payment disputes, refunds, code delivery, or any claims arising from the Developer-Buyer relationship.
    • Any issues or disputes regarding external transactions must be resolved between the Developer and the Buyer outside MvpHub.

  3. Fees and Commissions

    • We may charge fees or commissions for listings, escrow services, or other services provided on MvpHub. The fees or commissions will be disclosed to you prior to engaging in any transaction.
    • We reserve the right to change our fees and commission structure at any time, upon notice to you via email or through MvpHub.

  4. Refunds

    • No Refunds for Digital Products: Due to the nature of digital products, MVPs listed on MvpHub cannot be refunded or exchanged once access is granted.
    • Where MvpHub acts as an escrow (for domains or otherwise), refunds may be processed if the sale does not complete, at our sole discretion.

7. USER RESPONSIBILITIES

  1. Compliance with Laws

    • You agree to comply with all applicable laws, regulations, and third-party rights in your use of MvpHub.
    • You are solely responsible for determining whether your use of MvpHub is lawful in your jurisdiction.

  2. User Conduct

    • You shall not engage in any activity that disrupts or interferes with the proper operation of MvpHub, including introducing viruses, worms, or any other malicious code.
    • You shall not use MvpHub for any unlawful, fraudulent, or abusive purpose.

  3. Content Ownership and License

    • You retain ownership of any content (including MVP descriptions, domain information, code, or trademarks) you post or submit to MvpHub.
    • By submitting or posting content on MvpHub, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content for the purpose of operating, marketing, or improving MvpHub.

8. INTELLECTUAL PROPERTY

  1. Platform Content

    • All content on MvpHub, including but not limited to text, graphics, logos, and user interface elements, is owned or licensed by us and is protected by intellectual property laws.
    • You may not use, reproduce, modify, or distribute any part of our content without our prior written consent.

  2. User-Generated Content

    • We do not claim ownership of the content you submit, but you grant us the necessary rights to display, distribute, and promote it as outlined in these Terms.
    • You represent and warrant that your content does not violate any intellectual property rights of third parties.

9. DISCLAIMERS

  1. Platform “As Is”

    • MvpHub is provided on an “as is” and “as available” basis. We disclaim any warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

  2. External Links and Transactions

    • MvpHub may contain links to third-party websites or services. We do not endorse and are not responsible for the accuracy, reliability, or content of any third-party websites.
    • If you engage in a transaction on a third-party website (including Developer-hosted MVP transactions), you do so at your own risk. We are not liable for any claims or damages arising from such transactions.

  3. Information Accuracy

    • We do not warrant that any information available on or through MvpHub will be complete, accurate, or free of errors.
    • Developers and Domain Owners are solely responsible for the accuracy and completeness of their listings.

  4. No Guarantee of Results

    • We do not guarantee any specific outcome or success from using MvpHub, such as sales volume, exposure, or revenue.

10. LIMITATION OF LIABILITY

  • To the maximum extent permitted by law, we, our officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues arising out of or related to your use or inability to use MvpHub.

  • Users assume full responsibility for using MVPs purchased through the platform.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold MvpHub, our officers, directors, employees, agents, and affiliates harmless from any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorneys’ fees) arising out of:

  1. Your use or misuse of MvpHub;
  2. Your violation of any term of these Terms;
  3. Your violation of any third-party right, including without limitation any intellectual property or privacy right; or
  4. Any claim that your content caused damage to a third party.

12. TERMINATION

  1. Right to Terminate

    • We reserve the right, at our sole discretion, to terminate or suspend your account or access to all or part of MvpHub, with or without notice, for any reason.

  2. Effect of Termination

    • Upon termination, all rights granted to you under these Terms will cease immediately.
    • Termination will not affect any obligations or liabilities that arose prior to the date of termination or any provisions which by their nature are intended to survive termination (including intellectual property, indemnification, limitation of liability, disclaimers, and choice of law).

13. DISPUTE RESOLUTION

  1. Governing Law

    • These Terms shall be governed by and construed in accordance with the laws of New Zealand, without giving effect to any conflicts of law principles that would require the application of the laws of another jurisdiction.

  2. Arbitration

    • Any dispute arising under these Terms that cannot be resolved informally shall be settled by binding arbitration in Auckland, in accordance with the rules of the relevant arbitration association in New Zealand. The decision of the arbitrator shall be final and binding on the parties.

  3. Injunctive Relief

    • Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent any unauthorized use or abuse of MvpHub.

14. SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

15. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices or policies published by MvpHub, constitute the entire agreement between you and us regarding the use of MvpHub. These Terms supersede and replace any prior agreements, understandings, or representations (whether oral or written) between you and us.
